Our dis­pute res­o­lu­tion team has strong exper­tise and knowl­edge in all aspects of cor­po­rate lit­i­ga­tion and arbitration.

A strong focus of the prac­tice is on share­hold­ers’ dis­putes, aris­ing in or out­side the con­text of shareholder’s agree­ments. We advise pri­vate or cor­po­rate share­hold­ers and investors on any issue at shareholder’s level. 

We fre­quent­ly rep­re­sent com­pa­nies and pri­vate per­sons, both on the buy­er and the seller’s side regard­ing dis­putes orig­i­nat­ed in nego­ti­a­tions on share or asset deals, and in share pur­chase agree­ments, e.g. on earn-outs and price calculations.

We are also the trust­ed advi­sor of many direc­tors of emerg­ing and growth com­pa­nies, as well as estab­lished cor­po­rates on man­age­ment dis­putes, and on the due per­for­mance of their man­date and asso­ci­at­ed lia­bil­i­ties towards the com­pa­ny, share­hold­ers and third parties. 

We strive to resolve any such con­flicts effi­cient­ly, in order to allow the com­pa­ny to focus on its busi­ness or give way to new oppor­tu­ni­ties to an exit­ing direc­tor and/​or shareholder.

When lit­i­ga­tion or arbi­tra­tion is unavoid­able in cor­po­rate dis­putes, the team devis­es appro­pri­ate strate­gies tak­ing into account the (busi­ness) objec­tives of the client. We resort to sum­ma­ry pro­ceed­ings should the need arise. 

Rep­re­sen­ta­tive matters
  • Rep­re­sent­ing a com­pa­ny sum­moned by a third par­ty request­ing a Bel­gian Court to order the com­ple­tion of an uncom­plet­ed asset deal or, in the alter­na­tive, to order the com­pa­ny to pay an indem­ni­ty for wrong­ful ter­mi­na­tion of negotiations.
  • Obtain­ing the forced dis­so­lu­tion of a pri­vate lim­it­ed lia­bil­i­ty com­pa­ny with two share­hold­ers for legit­i­mate rea­sons and fol­low up of the con­sec­u­tive decom­po­si­tion of the company.
  • Obtain­ing, in sum­ma­ry pro­ceed­ings, the sus­pen­sion of a deci­sion of the shareholder’s meet­ing exclud­ing a share­hold­er from a lim­it­ed part­ner­ship com­pa­ny and con­sec­u­tive­ly nego­ti­at­ing a set­tle­ment regard­ing the exit of the shareholder.
  • Obtain­ing the dis­missal of a claim to have an inter­im man­ag­er appoint­ed to resume the mis­sion of the board of direc­tors of a real estate spe­cial pur­pose vehicle.
  • Obtain­ing the dis­missal of a post-acqui­si­­tion claim against the for­mer share­hold­ers of a com­pa­ny import­ing food from Asia for alleged account­ing fraud.
  • Assist­ing indi­vid­ual direc­tors in avoid­ing lia­bil­i­ty claims for mis­man­age­ment or vio­la­tion of by-laws, and rep­re­sent­ing direc­tors in pro­ceed­ings regard­ing lia­bil­i­ty claims, ini­ti­at­ed both by pri­vate and insti­tu­tion­al cred­i­tors (e.g. for VAT, tax pre-pay­­ments, social secu­ri­ty contributions).
  • Rep­re­sent­ed minor­i­ty share­hold­ers of a large fam­i­ly owned cor­po­ra­tion; obtain­ing a court order allow­ing their exit and the appoint­ment of an expert to deter­mine share price; pro­vid­ing legal assis­tance dur­ing the exper­tise relat­ing to the share price.
